Terms of Service
This agreement governs your use of the Lock It In Pro platform.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between Lock It In Pro, LLC, a Delaware limited liability company with its principal place of business in New York, United States ("Lock It In Pro," "Company," "we," "us," or "our"), and the business entity or individual accessing or using the Lock It In Pro software platform (the "Service") ("Customer," "you," or "your"). By accessing or using the Service, including by creating an account or using a free trial, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a business entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not access or use the Service.
2. Eligibility
The Service is available only to individuals who are at least 18 years of age and who are using the Service on behalf of a legitimate business. The Service is designed exclusively for locksmith businesses and is not intended for consumer use.
3. B2B Platform — No Consumer or Homeowner Use
Lock It In Pro is a business-to-business (B2B) software platform. The Service is intended solely for locksmith businesses to manage internal operations. Lock It In Pro does not: • Provide locksmith services • Offer services to homeowners or consumers • Verify customers or technicians • Participate in disputes between locksmith businesses and their customers Homeowners, tenants, or other end consumers are not users of the Service and have no contractual relationship with Lock It In Pro.
4. Description of the Service
Lock It In Pro provides a software-as-a-service workflow management platform that allows locksmith businesses to manage and organize internal operational information, including: • Leads • Jobs • Technician information • Customer contact information • Operational reporting • Job pricing summaries • Technician payout summaries The Service is provided solely as a software tool. Lock It In Pro does not control, supervise, or participate in locksmith services performed by Customers or their technicians.
5. Accounts and Account Responsibility
To use the Service, Customers must create an account. Customers agree to provide accurate information during account registration. The account owner is responsible for: • All activity conducted through the account • Managing user permissions • Ensuring that authorized users comply with these Terms Customers may invite team members to access the Service. Any activity by those users is considered activity of the Customer.
6. Customer Data
Customers may upload or store information within the Service, including: • Customer contact information • Job information • Technician information • Operational notes • Job pricing • Technician payout summaries This information is referred to as Customer Data. Customer retains ownership of Customer Data. Customers are solely responsible for the legality, accuracy, and collection of Customer Data.
7. Data Roles
For purposes of data protection laws: • Customer acts as the Data Controller • Lock It In Pro acts as the Data Processor Lock It In Pro processes Customer Data solely for the purpose of providing the Service.
8. Subscriptions and Billing
Lock It In Pro operates on a monthly subscription model. Customers may be offered a 14-day free trial. Subscriptions automatically renew unless cancelled before the renewal date. Payments are processed through Stripe. Lock It In Pro does not store payment card information. All fees are non-refundable once a billing period begins, except where required by law. Failure to pay may result in suspension or termination of access to the Service.
9. Acceptable Use
Customers may not use the Service to: • Violate any law or regulation • Upload malware or harmful code • Reverse engineer the software • Scrape or extract platform data • Conduct unauthorized security testing • Impersonate another person or entity Violation of these rules may result in account suspension or termination.
10. Intellectual Property
All rights, title, and interest in the Service remain the exclusive property of Lock It In Pro. This includes: • Software • Platform architecture • Features and improvements • Design and branding • Derivative works Customers receive a limited, non-exclusive license to use the Service during an active subscription. Customers may not resell, sublicense, copy, or reverse engineer the Service.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." LOCK IT IN PRO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING: • MERCHANTABILITY • FITNESS FOR A PARTICULAR PURPOSE • NON-INFRINGEMENT Lock It In Pro does not guarantee uninterrupted or error-free service.
12. Limitation of Liability
To the maximum extent permitted by law, Lock It In Pro shall not be liable for: • Lost profits • Business interruption • Lost data • Indirect or consequential damages Total liability shall not exceed the amount paid by the Customer during the 12 months preceding the claim. Lock It In Pro is not responsible for: • Locksmith service outcomes • Technician disputes • Customer disputes • Regulatory compliance of Customers
13. Indemnification
Customers agree to indemnify and hold harmless Lock It In Pro from any claims arising out of: • Customer business operations • Locksmith services performed by Customer • Customer Data • Interactions between Customer and their customers
14. Termination
Customers may cancel their subscription at any time. Lock It In Pro may suspend or terminate accounts for: • Non-payment • Fraud or abuse • Security threats • Violation of these Terms
15. Data Retention
Upon account cancellation: Customer Data may be retained for up to 30 days. After this period, data may be permanently deleted. Customers are responsible for exporting their data before cancellation.
16. Dispute Resolution
Any dispute arising out of these Terms shall first be subject to informal resolution for 30 days. If unresolved, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) in New York, New York. Customers waive the right to participate in class actions or class arbitration.
17. Governing Law
These Terms are governed by the laws of the State of New York.
